1. Services and Engagement

1.1 Scope of Work

Rank Local Agency provides elite digital marketing and technical assets, including Search Engine Optimisation (SEO/AEO/GEO), Google & Meta Ads, High-Performance Web Design, Social Media Management, and Strategic Branding. Specific deliverables are governed by the signed Proposal or Statement of Work (SOW).

1.2 Branding & Visual Identity

• Design Sprints: Branding projects are delivered in set phases. Each phase includes two (2) rounds of revisions.
• Out-of-Scope: Additional revisions beyond the allotted rounds or requests made outside the initial SOW will be billed at our standard hourly rate of £75 per hour.
• Trademarking: We provide original designs, but the Client is responsible for conducting legal trademark searches and clearances for their jurisdiction.

1.3 Web Design & Development

• Approval Stages: Sign-off on design mockups is final. Post-launch changes or scope creep will be billed at our standard hourly rate.
• Technical Handover: Upon final payment, the Client owns the design and code. Ongoing hosting and security are the Client's responsibility unless a separate Maintenance Agreement is active.

1.4 Social Media Management (SMM)

• Deemed Approval: To maintain velocity, content calendars are sent in advance. Failure to provide feedback within 48 hours constitutes deemed approval.
• Community Management: Unless stated in the SOW, services cover content creation and posting only. We do not provide 24/7 comment moderation or crisis management.
• AI Disclosure: We may utilise AI tools for visual assets and captions to maintain high output. All content is human-vetted before publishing.

1.5 Paid Media (Google & Meta Ads)

• Ad Spend: All ad spend is paid directly by the Client to the platform (Google/Meta). Our fees cover management and technical optimisation only.
• Performance: We optimise for maximum ROI but do not guarantee specific conversion volumes due to market auction dynamics.

2. Fees and UK Tax Compliance

2.1 Quote Currency & VAT

All fees are quoted in GBP (£). Prices are exclusive of VAT. The standard UK VAT rate (20%) applies to all UK-based clients.

2.2 Payment Structure

• Fixed-Price Projects (Branding/Web): A 50% non-refundable commencement fee is required before work begins. The remaining 50% is due prior to the release of master files or site launch.
• Retainer Services (SEO/Ads/SMM): These are pre-pay services. Work for the upcoming month will not commence until the automated payment is processed.

3. Payment Schedule and Automated Billing

3.1 Recurring Retainers

Monthly fees are processed automatically via Stripe on the 1st day of each billing period.

3.2 Failure to Pay

Rank Local Agency reserves the right to pause all active campaigns, social posting, and site support immediately if a payment fails. We are not liable for any loss of engagement or learning phase resets caused by these pauses.

4. Term and Termination

4.1 Minimum Required Term

Due to the technical setup and algorithmic learning periods required for high-velocity growth, all recurring retainers are subject to a minimum term of 3 months.

4.2 Notice Period

Following the initial term, termination requires 30 days' written notice prior to the next billing date.

5. Performance and Liability

5.1 No-Guarantee Disclaimer

Rank Local Agency specialises in high-velocity optimisation. We make no guarantee of specific ranking positions, Position Zero placements, viral reach, or follower counts. Digital environments are proprietary and subject to third-party algorithm shifts (Google, Meta, OpenAI).

5.2 Portfolio Rights

Rank Local Agency retains the right to display all branding, web design, and campaign results in our portfolio as work performed unless otherwise agreed in writing.
